1. Acceptance of these terms
These Terms of Use ("Terms") are an agreement between you and Aimray ("Aimray", "we", "us"), based in India. They apply to the Aimray Business app for Android and iPhone (the "App"), the website aimray.com (the "Website") and the Aimray Messaging API and related services (together, the "Services"). By downloading, installing, accessing or using the Services you agree to these Terms and to our Privacy Policy and Child Safety Standards. If you use the Services on behalf of a business, you confirm you're authorised to accept these Terms for it.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. You must not use the Services if you're barred from doing so under applicable law. We will suspend accounts we reasonably believe belong to someone under the minimum age.
3. Your account
- You register with a mobile number you own or are authorised to use, and verify it with a one-time code. You agree to provide accurate information, including your name.
- You're responsible for activity on your account and for keeping your device secure. Tell us promptly at info@aimguru.com if you believe your account has been compromised.
- You may not sell, transfer or share your account, or create accounts by automated means.
- If you change your phone number, update your account; otherwise messages may be lost.
4. Acceptable use
You agree not to use the Services to:
- break any law, or help others do so, including consumer protection, data protection, telemarketing and anti-spam laws;
- send spam, unsolicited bulk or automated messages, chain messages, or contact people who haven't agreed to hear from you;
- harass, threaten, bully, stalk, defame, intimidate or impersonate any person or business;
- share content that is sexually explicit, hateful, discriminatory, violent, promotes terrorism or self-harm, or is otherwise objectionable;
- share any content that sexually exploits or endangers children. We have zero tolerance for child sexual abuse material (CSAM) and grooming, and we report it to the authorities (see our Child Safety Standards);
- commit fraud, phishing, scams or deceptive practices, or sell illegal, counterfeit or restricted goods and services;
- infringe anyone's intellectual property, privacy or other rights;
- upload viruses or malicious code, or interfere with, overload or disrupt the Services;
- scrape, harvest or collect data about users, or access the Services by automated means except through the official Messaging API;
- reverse engineer, decompile or modify the App, or bypass any security or usage limit, except where the law allows it.
5. Your content
You own the messages, photos, catalogue items and other content you share ("Your Content") and you're responsible for it. You grant Aimray a worldwide, non-exclusive, royalty-free licence to host, store, encrypt, transmit, display and process Your Content only as needed to operate and improve the Services and as described in our Privacy Policy. This licence ends when Your Content is deleted from our systems, except where it has been shared with others who haven't deleted it, or where we must keep it by law.
6. Objectionable content, blocking & reporting
There is no tolerance for objectionable content or abusive users on Aimray Business. To keep the community safe:
- You can block any user from their chat or profile, so they can no longer contact you.
- You can report users, messages or content to us using the report form or by email to info@aimguru.com.
- We review reports and act on objectionable content within 24 hours, by removing the content and suspending or banning the user who provided it, as appropriate.
- We may also use filtering and review to detect content and behaviour that breaks these Terms.
7. Business features & transactions
If you use the App for business, for example by listing products in your catalogue or sending offers, you're solely responsible for your products, services, prices, descriptions, taxes, delivery, refunds, warranties and compliance with applicable laws. Aimray provides the communication platform only: we are not a party to any transaction between businesses and their customers and are not responsible for any goods, services or payments exchanged.
8. Messaging API terms
If you use the Aimray Messaging API, these additional terms apply:
- Consent: you'll send messages only to people who have given you their number and agreed to receive messages from your business, and you'll keep records of that consent.
- Identification and opt-out: every message must clearly identify your business, and you'll promptly honour any request to stop receiving messages.
- Content: you won't send prohibited content (section 4), misleading messages, or messages that breach telemarketing or communications regulations that apply to you.
- Credentials: keep your API credentials confidential. You're responsible for all use of them. Tell us immediately if they're compromised.
- Limits: we may apply rate limits and fair-use limits to protect the service and its users.
- Pricing: API usage is charged at the prices in your quote or order form. We aim to offer the lowest price; prices may change with at least 30 days' notice, and taxes are extra where applicable.
- Suspension: we may suspend API access immediately if we detect spam, abuse, unpaid charges or a breach of these Terms.
9. Fees
The App is free to download and use. Some services, such as the Messaging API and other business communication services, are paid as agreed with you. Free use may be subject to reasonable limits and sharing restrictions. If we introduce paid features inside the App, purchases will be made through Google Play or the App Store billing where required, and their payment terms will apply.
10. Third-party services
The Services rely on third-party providers such as Google Firebase and Apple and Google push notification services, and may show links or previews of third-party websites. We're not responsible for third-party services or content, and their own terms and policies apply. Your mobile carrier's normal rates for data and SMS may apply.
11. Intellectual property
The Services, including the App, Website, logos, design and software, are owned by Aimray or its licensors and protected by law. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the App on devices you own or control. "Aimray" and the Aimray logo are our trademarks; you may not use them without our written permission. If you send us feedback, we may use it without any obligation to you.
12. Suspension & termination
You can stop using the Services at any time and request deletion of your account. We may suspend or terminate your access, remove content or refuse service, with or without notice, if you breach these Terms, if required by law, or to protect users, the public or Aimray. Sections that by their nature should survive termination (including 5, 7, 11 and 13–17) will survive.
13. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent permitted by law, Aimray disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that the Services will be uninterrupted, error-free or that messages will always be delivered. The App is not a replacement for emergency services. Do not rely on it to contact police, fire or medical help.
14. Limitation of liability
To the fullest extent permitted by law, Aimray will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
15. Indemnity
You agree to defend and indemnify Aimray against claims, losses and expenses (including reasonable legal fees) arising from Your Content, your business transactions, your use of the Messaging API, or your breach of these Terms or the law.
16. Apple App Store & Google Play terms
If you downloaded the App from the Apple App Store
- These Terms are between you and Aimray only, not Apple Inc. ("Apple"). Aimray, not Apple, is solely responsible for the App and its content.
- Your licence to use the App is limited to a non-transferable licence to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
- Apple has no obligation to provide any maintenance or support services for the App. Aimray is responsible for maintenance and support, as described in these Terms or as required by law.
- Aimray is responsible for any product warranties that cannot be disclaimed by law. If the App fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation for the App.
- Aimray, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- If a third party claims that the App or your possession and use of it infringes their intellectual property rights, Aimray, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms when using the App (for example, your wireless data service agreement).
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
- Questions, complaints or claims about the App should be sent to Aimray at info@aimguru.com.
Where these Terms don't address a matter, Apple's standard Licensed Application End User License Agreement also applies to App Store downloads.
If you downloaded the App from Google Play
Your download and use of the App is also subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the App or its content. These Terms prevail over any conflicting terms between you and Aimray.
17. Governing law & disputes
These Terms are governed by the laws of India. Before starting formal proceedings, please contact us so we can try to resolve the issue informally. Subject to any mandatory consumer protection rights you have where you live, the courts of competent jurisdiction in India will have exclusive jurisdiction over any dispute arising from these Terms or the Services.
18. Changes to these terms
We may update these Terms from time to time. We'll change the "Last updated" date above and, for material changes, notify you in the App or by other appropriate means. If you continue to use the Services after changes take effect, you accept the updated Terms. If you don't agree, stop using the Services and delete your account.
